Can a foreigner own 100% of a Serbian d.o.o.?
Yes. A foreign individual or company (EU and non-EU) can be the sole founder and owner of a Serbian d.o.o. (LLC). There is no local-partner requirement. You can also be the director, or appoint one.
Do I have to travel to Serbia?
No. With a qualified electronic signature (eID) the whole APR filing is remote. If you do not have an eID, we can act on a notarised power of attorney, which you sign and apostille/legalise in your country. Documents in a foreign language are submitted with a certified Serbian translation.
What is the minimum share capital?
Just 100 RSD (≈ 1 €). The capital is not “spent” — it stays available to the company. This very low threshold is one reason the d.o.o. is so accessible.
What does it cost and how long does it take?
Our service starts from 24.900 RSD (≈ 212 €), orientational — document preparation, the APR filing and tracking to the decision and PIB. The APR state fee is paid separately, at cost (electronic d.o.o. formation ~4.900 RSD, orientational). Registration usually takes 1–3 business days once the signed paperwork is complete.
What taxes will the company pay?
Corporate profit tax is 15% (flat). VAT is 20% standard / 10% reduced; VAT registration is mandatory once turnover exceeds 8.000.000 RSD in the previous 12 months. Dividends are taxed at 15% (may be lower under a double-tax treaty).
Is a d.o.o. or the paušal regime better for me?
A d.o.o. caps your liability at the share capital and suits larger clients and investors. A flat-rate preduzetnik (paušal) is simpler and cheaper but you are liable with your personal assets. If you are an IT contractor, read Serbia for IT freelancers.
